Terms of Service

These Terms of Service (“Terms”) govern your access to and use of aerowholesale.com (the “Site”) and the products and services provided by AeroWholesale (“AeroWholesale,” “we,” “us,” or “our”). By accessing the Site, applying for a buyer account, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or our services.

1. Business-to-Business Use Only

AeroWholesale sells wholesale refurbished electronics exclusively to approved business buyers. The Site and our services are intended for businesses and their authorized representatives. By using our services, you represent that you are acting on behalf of a business and are authorized to bind that business to these Terms.

2. Buyer Accounts and Approval

Access to wholesale pricing, inventory, and ordering requires an approved buyer account. To apply, you must submit accurate business information and any requested verification documents (such as a W-9 or resale/sales tax certificate). We may approve or decline any application at our sole discretion, and we may suspend or revoke account access at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Pricing

Wholesale pricing is available only to approved buyers and is not displayed publicly. All prices are subject to change without notice. Pricing quoted for a specific order is valid only for the period stated in the quote, or as otherwise communicated. We reserve the right to correct pricing errors, including after an order has been submitted.

4. Orders and Acceptance

Submitting an order constitutes an offer to purchase. All orders are subject to acceptance by AeroWholesale and to product availability. We may decline, cancel, or limit any order at our discretion. Inventory shown on the Site reflects current availability but is not a guarantee that any item will remain in stock.

5. Payment Terms

Accepted payment methods include ACH and wire transfer, unless otherwise agreed in writing. Payment terms for each order will be communicated at the time of sale. Orders are processed and shipped only after payment is received or otherwise approved in accordance with any agreed terms. Title and risk of loss pass to the buyer upon delivery to the carrier, unless otherwise specified.

6. Product Condition and Grading

Our products are refurbished electronics graded in-house according to our published grading standards. Grades describe the cosmetic and functional condition of devices. Because these are refurbished products, normal cosmetic variation consistent with the assigned grade is expected and is not a defect. We encourage you to review our grading standards before ordering.

7. Warranty, Returns, and RMAs

Limited warranty. Eligible devices are covered by a limited warranty for the period stated at the time of sale (for example, our 90-day warranty), covering functional defects not consistent with the device’s assigned grade. The warranty does not cover cosmetic conditions consistent with the assigned grade, physical or liquid damage occurring after delivery, or misuse.

Returns and RMAs. Returns are accepted only through our Return Merchandise Authorization (RMA) process. To request an RMA, contact us at sales@aerowholesale.com within the applicable warranty or return window. Items returned without authorization may not be accepted. Returned items must be in the same condition and configuration in which they were received.

Remedies. For valid warranty claims, our remedy, at our option, is repair, replacement, or credit/refund. This is your exclusive remedy for products that do not conform to the assigned grade or warranty.

8. Shipping

We ship from our New Jersey facility. Shipping timeframes, including any same-day shipping cutoffs, are estimates and not guarantees. We are not responsible for delays caused by carriers or events outside our control.

9. Acceptable Use

You agree not to use the Site to violate any law, infringe any rights, interfere with the Site’s operation or security, attempt unauthorized access, or misrepresent your identity or business. We may suspend or terminate access for any violation.

10. Intellectual Property

The Site and its content, including text, graphics, logos, and the AeroWholesale name and branding, are owned by AeroWholesale or its licensors and are protected by applicable laws. You may not use, copy, or reproduce our content or branding without our prior written permission.

11. Disclaimer of Warranties

Except for the limited warranty expressly stated in Section 7, the Site and our products and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, AeroWholesale will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of the Site or our products or services. Our total liability for any claim will not exceed the amount you paid for the product or order giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless AeroWholesale and its officers, employees, and agents from any claims, losses, or expenses arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party rights.

14. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
